Position Summary: We are looking for a smart, energetic, ambitious, diligent, solution-oriented, and client-focused Corporate Counsel to join our team and support a broad range of business functions.

Among other things, the Corporate Counsel will be responsible for drafting and negotiating contracts, supporting corporate transactions both big and small, identifying and analyzing regulatory and contractual compliance risks, preparing mortgage disclosure templates, working with internal clients at all levels of the company, and interfacing with business partners, vendors, and other counterparties.

While mortgage and consumer regulatory experience is helpful, in this role it will be more important to demonstrate a willingness to learn new areas of law outside of the lawyers core competence and assist with projects outside the lawyers comfort zone.

Critically, we will be looking for a candidate who can adapt quickly to changing priorities, build trust with internal stakeholders, exercise good judgment, and act with kindness and integrity.

We will be especially excited about a candidate who can grow as the company grows.

The Corporate Counsel will report directly to the companys Chief Legal Officer.

Responsibilities: Review, draft, and negotiate vendor contracts, leases, broker agreements, correspondent agreements, mortgage loan purchase agreements, interim servicing agreements, services agreements, warehouse line agreements, custodial agreements, guarantees, asset purchase agreements, employment agreements, term sheets, letters of intent, non-disclosure agreements, and a range of other commercial and transaction documentsPrepare corporate resolutions, written consents, operating agreements, and other organizational documents and filingsCreate and maintain standardized form documentsAssist in preparing mortgage origination template documents and disclosuresAssist business clients with mortgage repurchase response and mortgage broker collection strategiesAssist business partners in navigating and resolving vendor disputesReview and analyze entity formation and other organizational documents, such as operating agreements and resolutions, and advise internal clients about the implications of the same to proposed transactions or pr...
