Investment Banking [Multiple Positions Available]
DESCRIPTION:
Duties: Participate in all aspects of structuring and executing a range of complex domestic and cross-border transactions, including acquisitions, divestitures, mergers, spin-offs, split-offs, joint-ventures, special acquisition company mergers, asset swaps, and defenses against unsolicited takeover attempts, focusing on the technology sector.
Create, maintain, and review complex financial operating models and valuation analyses, including discounted cash flow (DCF), trading comparables, precedent transactions, leveraged buy- out (LBO) analysis, sum-of-the-parts analysis, discounted future share price analysis, transaction impact analysis, and tax and transaction structuring analysis, in the context of structured public and private technology mergers and acquisitions (M&A) transactions.
Assist with deal execution and work with senior deal team members, client management teams, board members, transaction counterparties, and other advisors.
Assist clients with due diligence by coordinating information flow, supervising calls and meetings between parties, and reviewing and analyzing company information.
Produce deliverables such as memoranda, management presentations, board materials, and other presentation materials for use in M&A transactions and strategic client dialogue.
Participate in meetings with current or prospective strategic clients of the firm.
Design and analyze M&A transaction structures.
Leverage and coordinate the bank's resources on behalf of clients, including industry expertise from partners in industry coverage groups and product expertise from partners in debt and equity capital markets and corporate finance advisory.
Engage in negotiation activities.
Contribute to the development, training, and mentoring of junior team members.
QUALIFICATIONS:
Minimum education and experience required: Master's degree in Business Administration, Finance, or related field of study plus 3 years of experience in the job offered or as Investment Banking, Mergers and Acquisitions Associate, or related occupation.
The employer will alternatively accept a Bachelor's degree in Business Administration, Finance, or related field of study plus 5 years of experience in the job offered or as Investment Banking, Mergers and Acquisitions Associate, or related occupation.
Skills Required: This position requires three (3) years of experience with the following: Corporate finance and accounting; Public company takeover defense; Executing acquisitions and sales of private and public companies, leveraged buyouts, joint ventures, divestitures and carve-outs, and spin-offs.
