Job Summary

As an Associate - Contract Specialist II in the Legal Support Team, you will provide essential legal services to various lines of business and practice group attorneys within the Legal Department.

This role offers the opportunity to work on complex agreements, conduct transactional due diligence, and contribute to special projects.

You will be a single contributor focused on supporting specific practice groups and/or regions, ensuring the accuracy and integrity of all contractual documents.

Job Responsibilities


* Review, draft, and negotiate non-disclosure agreements, non-reliance letters, and joinder agreements.


* Conduct due diligence on transactional and corporate documents to ensure compliance and mitigate risk.


* Perform legal research and analyze laws, regulations, and requirements relevant to the firm's operations.


* Collaborate with legal, finance, procurement, and business-unit partners to resolve contractual issues.


* Manage competing priorities and large volumes of agreements under tight deadlines.


* Identify and address inconsistencies or gaps in contract terms before execution.


* Maintain high standards of ethics and professionalism in handling confidential information.


* Escalate complex contractual matters appropriately, exercising sound commercial judgment.


* Support delivery of legal functions for specific practice groups and/or regions.


* Participate in special projects and initiatives as assigned by the legal department.


* Ensure all agreements align with business objectives and risk mitigation strategies.
