Transactional Attorney - Vice President, Assistant General Counsel

Strategic Transactions Legal negotiates some of the most exciting strategic partnerships in Consumer & Community Banking (CCB).

We are looking for a talented transactional attorney and trusted legal advisor to join the team in driving this critical work.

As a Transactions Attorney - Vice President, Assistant General Counsel within our Card Services team, you will providing legal counsel on a variety of strategic deals across the bank's CCB businesses.

The primary responsibilities of the role will include drafting and negotiating agreements, such as card benefits and marketing arrangements, digital integrations, co-brand card partnerships, and other types of broad-based strategic partnership agreements with household names.

The role will provide the opportunity for significant cross-functional and cross-legal department collaboration and require the delivery of timely, clear, and pragmatic legal advice to the business.

Job responsibilities


* Draft and negotiate agreements for key CCB strategic partnerships and engagements.


* Provide strategic, commercially pragmatic, and transparent advice to business partners.


* Provide ongoing support and assistance to business partners, other legal teams and functional partners as to contract interpretation.


* Provide early stage "seat at the table" strategy and pre-term sheet legal support, including issue-spotting, researching, and appropriately escalating risks and concerns that may exist with any potential deal type.


* Participate in cross line of business initiatives.


* Manage external counsel on discrete deals (as much of the work is done in-house as possible).

Required qualifications, capabilities and skills


* Licensed attorney with at least 5 years of legal experience.


* On-point transactional experience with strong technical drafting skills.


* The ability to stay calm when the pressure is on and the confidence to be outspoken when necessary while maintaining a good sense of humor.
