Corporate Paralegal/Senior Corporate Paralegal
The Senior Corporate Paralegal will play a key role in supporting the company's board of directors, General Counsel and senior management with corporate governance and other corporate activities, as well as reviewing and managing corporate documentation.
Key Responsibilities and Tasks:
* Meeting support, including preparing and organizing agendas, materials, and minutes for board meetings and maintaining corporate records and organizational documentation.
* Recordkeeping and documentation, including maintaining accurate records of board and committee decisions, resolutions, and other corporate governance documentation, including subsidiary management.
* Corporate governance compliance and research and analysis, including monitoring and conducting research on corporate governance best practices, regulatory changes, and industry trends to inform decision-making and ensure the company's governance framework remains current and effective.
This may involve tracking deadlines, reviewing policies and procedures, and ensuring adherence to best practices.
* Provide administrative support to the board of directors and its committees.
This may include scheduling meetings and coordinating with external advisors.
* Support corporate transactions and activities, including M&A transactions (NDAs, diligence, and post-closing administration) and certain litigation-related administrative support.
* Assist the legal team with requests for information and documentation.
* Other special projects and duties as may be assigned.
Skills and Qualifications :
* Associate's degree required and Paralegal certificate is a plus
* Preferred experience includes 15 years of corporate paralegal experience at a public company assisting with public company governance, transactional work, and corporate administrative tasks.
* Strong organizational and administrative skills, including ability to manage multiple tasks, prioritize effectively while meeting deadlines, and maintain meticulous attention to detail.
* Excellent communication and interpersonal skills, including strong written and oral communication and ability to work effectively with board members, senior management, and other stakeholders.
* Experience working on highly confidential and sensitive matters and managing information related thereto.
* Ability and willingness to take initiative, including identifying and addressing problems, making continuous process improvements, and taking on additional projects as necessary.
* Knowledge of corporate governance principles and best practices and legal and regulatory awareness.
* Proficiency in Microsoft Office Suite and other relevant software.
* Research and analytical skills, including the ability to conduct research, analyze information, and synthesize findings to inform decision-making.
