Associate General Counsel (Commercial and Strategic Matters)

The Associate General Counsel (Commercial and Strategic Matters) will proactively provide legal counsel and business-oriented advice with respect to a broad variety of important commercial matters and strategic transactions.

This position will report directly to the Senior Vice President, General Counsel and Secretary and will be eligible for a hybrid working arrangement (our corporate headquarters is located in sunny Phoenix, Arizona).

What you will do to contribute to the company's success


* Provide comprehensive and business-oriented legal counsel and guidance on a variety of commercial matters, including new commercial initiatives.


* Draft, negotiate and review a variety of agreements, including complex commercial contracts.


* Work closely with cross-functional deal teams, including outside counsel, to support strategic M&A, financing and investment transactions.


* Provide legal advice and support for post-acquisition integration activities.


* Support the legal team in dispute resolution, risk management and compliance efforts.


* Manage other special projects as necessary or desired.

Qualifications


* A bachelor's degree and a Juris Doctor degree from a top tier American Bar Association accredited law school with demonstrated excellent academic performance.


* A minimum of eight years of experience as a licensed, practicing attorney, with demonstrated knowledge and experience across a broad range of legal matters.


* Admitted to and in good standing with at least one state bar.


* Combined national law firm and in-house counsel experience is preferred.


* Strong business acumen and ability to distill legal advice into actionable guidance for business partners.


* Detail-oriented with exceptional organizational and project management skills.


* Strong written and verbal communications skills.


* Collaborative team player.

* Desire to learn and pursue continual incremental improvement and career development.


* Prior experience with M&A, financing and investment transactions is preferred.


* Public company experience is preferred.
